By accessing, browsing, or using the website located at https://www.ciphercru.com and any subdomains, pages, or digital properties operated by CipherCru Innovations Private Limited (collectively, the "Website"), you confirm that you have read, understood, and agree to be legally bound by these Website Terms of Use (these "Terms").

If you do not agree to these Terms in their entirety, you must immediately stop using the Website.

Your continued use of the Website following the posting of any updated Terms constitutes acceptance of those updated Terms. It is your responsibility to review these Terms periodically.

Note. These Terms govern your use of this website only. If you engage CipherCru for professional services, a separate Master Services Agreement (MSA) and Statement of Work (SOW) govern that relationship. Where both apply, the MSA and SOW take precedence over these Terms on matters related to service delivery.

References to "CipherCru", "we", "us", or "our" in these Terms refer to CipherCru Innovations Private Limited.

3. Scope of These Terms

These Terms apply to:

  • all visitors to and users of the Website, regardless of the device used to access it;
  • all content, features, tools, forms, and functionality available on the Website;
  • any communications initiated through the Website, including contact forms, newsletter sign-ups, and enquiry submissions.

These Terms do not govern:

  • professional services provided by CipherCru under an MSA or SOW;
  • the processing of personal data (governed by our Privacy Policy);
  • the use of cookies and tracking technologies (governed by our Cookie Policy);
  • any separate client portal, SaaS platform, or application made available to you under a separate agreement.

4. Eligibility

4.1 Age. You must be at least eighteen (18) years of age to use this Website. By using the Website, you represent and warrant that you meet this age requirement. If you are under 18, you must not use the Website or submit any information through it.

4.2 Legal Capacity. By using the Website on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that these Terms will be enforceable against that entity.

4.3 Prohibited Persons. You must not access the Website if you are subject to comprehensive economic sanctions or trade restrictions administered by the Government of India, the United Nations Security Council, the United States Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom, or if your use of the Website would violate any applicable law or regulation.

5. Permitted Use

Subject to these Terms, CipherCru grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Website for the following purposes:

  • browsing and reviewing information about CipherCru's services, team, and capabilities;
  • submitting legitimate enquiries or contact requests through Website forms;
  • downloading or viewing any resources, case studies, or documents that CipherCru has made publicly available and clearly marked as downloadable;
  • sharing links to publicly available Website pages on social media or in professional communications, provided CipherCru is correctly attributed.

All other uses require CipherCru's prior written consent.

6. Prohibited Use

You must not use the Website to:

6.1 Illegal Activities. Engage in any activity that is unlawful under applicable Indian law or the law of any jurisdiction in which you are located or operating, including the Indian Penal Code, the Information Technology Act 2000, the Information Technology (Amendment) Act 2008, the Digital Personal Data Protection Act 2023, the Prevention of Money Laundering Act 2002, or any applicable export control or sanctions laws.

6.2 Unauthorised Data Collection. Use automated scripts, bots, crawlers, scrapers, spiders, or any other automated tools to extract, collect, harvest, or store data, content, or Personal Data from the Website without CipherCru's prior written consent.

6.3 Security Attacks. Attempt to probe, scan, penetrate-test, or otherwise compromise the Website's security; upload, transmit, or introduce malware, viruses, ransomware, Trojan horses, keyloggers, or other malicious code; or conduct any denial-of-service or distributed denial-of-service attack.

6.4 Circumvention. Circumvent, disable, bypass, or interfere with any security, authentication, copy-protection, or access-control mechanism on the Website.

6.5 Impersonation and Fraud. Impersonate CipherCru, any CipherCru employee, or any other person or entity; create fake identities; or engage in any form of deceptive, fraudulent, or misleading conduct in connection with the Website.

6.6 Unsolicited Communications. Use contact information obtained from the Website to send unsolicited commercial communications, spam, or bulk messages to CipherCru's employees or other Website users, in violation of applicable law.

6.7 Competitive Intelligence. Access the Website primarily for the purpose of competitive analysis, benchmarking against CipherCru, or developing a product or service that competes with CipherCru's offerings, without CipherCru's prior written consent.

6.8 Overloading Infrastructure. Place an unreasonably large or disproportionate load on the Website's infrastructure or underlying servers by any means, including excessive automated requests.

6.9 Harmful Content. Submit, upload, or transmit through the Website any content that is defamatory, obscene, pornographic, hateful, threatening, harassing, or otherwise unlawful or harmful.

Consequences. Violation of this Section 6 may result in immediate termination of your access to the Website and may expose you to civil and/or criminal liability under applicable law. CipherCru reserves the right to report violations to law enforcement authorities.

7. Intellectual Property

7.1 CipherCru's Ownership. The Website and all of its content are the exclusive property of CipherCru Innovations Private Limited or its licensors. This includes, without limitation:

  • all text, articles, blog posts, case studies, whitepapers, and written content;
  • all graphics, illustrations, photographs, icons, logos, and visual elements;
  • all audio, video, and multimedia content;
  • all software, code, scripts, and functionality underlying the Website;
  • all trade marks, service marks, trade names, and domain names used in connection with the Website;
  • all data compilations, databases, and structured information presented on the Website;
  • all design elements, user interface layouts, and overall look and feel of the Website.

All such content and elements are protected by applicable copyright, trade mark, database rights, and other intellectual property laws of India and, where applicable, international conventions.

7.2 Trade Marks. CipherCru, the CipherCru logo, and all other trade marks, service marks, and trade names displayed on the Website are the registered or unregistered trade marks of CipherCru Innovations Private Limited. You must not use any CipherCru trade mark:

  • as part of your own company name, product name, or domain name;
  • in any way that implies an endorsement, sponsorship, partnership, or affiliation with CipherCru that does not exist;
  • in any manner likely to cause confusion among consumers;
  • in a way that disparages or discredits CipherCru.

7.3 Limited Licence to View. CipherCru grants you a limited, personal, non-exclusive, non-transferable, revocable licence to view Website content on your personal device solely for your own information and evaluation purposes. This licence does not permit you to:

  • copy, reproduce, republish, download (except as described in Section 5), or distribute any Website content for commercial purposes or public display;
  • modify, translate, adapt, or create derivative works from any Website content;
  • sell, resell, rent, lease, or sublicence any Website content;
  • remove or alter any copyright notice, trade mark, or other proprietary marking on Website content;
  • use Website content in any manner that is competitive with or detrimental to CipherCru's business interests.

7.4 Press and Media Use. Journalists and media organisations may reproduce reasonable quotations from publicly available Website content for news reporting purposes, provided that CipherCru is clearly and correctly attributed and the quotation is not taken out of context. 7.5 Copyright Complaints. If you believe that material on the Website infringes your copyright, please send a written notice to legal@ciphercru.com containing: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the material on our Website alleged to be infringing with sufficient detail to locate it; (c) your contact details; (d) a statement of good faith belief that use of the material is not authorised; and (e) a declaration that the information in your notice is accurate. We will investigate and respond within a reasonable timeframe.

8. User Submissions

8.1 What You Submit. When you submit information through any Website form, contact page, newsletter sign-up, or enquiry mechanism, you:

  • represent and warrant that all information you provide is accurate, current, and not misleading;
  • grant CipherCru permission to use that information to respond to your enquiry and to communicate with you for related business purposes;
  • acknowledge that your submission does not create any obligation on CipherCru to engage you as a client or to respond to every enquiry.

8.2 No Confidential Submissions via Website Forms. Website contact forms and general enquiry channels are not secure channels for the transmission of confidential, sensitive, or proprietary information. Do not submit trade secrets, confidential business information, or sensitive personal data through Website forms. CipherCru does not assume any confidentiality obligation in respect of information submitted via Website forms unless and until a formal Mutual NDA has been executed between the parties.

8.3 No Unsolicited Ideas. CipherCru does not accept or consider unsolicited ideas, suggestions, or proposals for products, services, or technology through Website forms or email. Any such submission is made entirely at your own risk, and CipherCru has no obligation to treat it as confidential or to compensate you for it.

8.4 Testimonials and Reviews. If you provide a testimonial, review, or public endorsement and CipherCru displays it on the Website, you grant CipherCru a non-exclusive, royalty-free, perpetual licence to use, reproduce, and display that content in connection with CipherCru's marketing and promotional activities. CipherCru will not alter the substance of your testimonial without your consent.

9. Third-Party Links & Services

9.1 External Links. The Website may contain hyperlinks to third-party websites, platforms, social media profiles, and resources. These links are provided solely for your convenience and information. CipherCru:

  • does not control, endorse, or take responsibility for the content, accuracy, privacy practices, or terms of service of any linked third-party website;
  • is not responsible for any loss or damage you suffer as a result of accessing a linked third-party website;
  • does not represent or warrant that linked websites are free from malware, errors, or harmful content.

Your use of any linked third-party website is entirely at your own risk and subject to the terms and conditions of that website.

9.2 Embedded Content. The Website may embed content from third-party platforms (such as YouTube, Vimeo, LinkedIn, or similar). Such embedded content is subject to the terms and privacy policies of the third-party platform. CipherCru is not responsible for the practices of third-party platforms hosting embedded content.

9.3 Third-Party Tools. The Website may use third-party tools and services including analytics platforms, customer relationship management tools, live chat widgets, and marketing platforms. The data practices of these third-party tools are disclosed in our Privacy Policy and Cookie Policy.

9.4 Linking to Our Website. You may link to our Website home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on CipherCru's part without our prior written consent. 11.1 Exclusion of Indirect Loss. To the fullest extent permitted by applicable law, CipherCru shall not be liable to you for any:

  • indirect, consequential, incidental, or special damages;
  • loss of profits, revenue, or anticipated savings;
  • loss of business, contracts, or commercial opportunities;
  • loss of goodwill or reputation;
  • loss of data or data corruption;
  • wasted expenditure or management time;
  • business interruption losses;
  • punitive or exemplary damages,

arising out of or in connection with your use of, or inability to use, the Website or its content, even if CipherCru has been advised of the possibility of such loss or damage.

11.2 Aggregate Cap. To the fullest extent permitted by applicable law, CipherCru's total aggregate liability to you in connection with your use of the Website (whether in contract, tort, negligence, breach of statutory duty, or otherwise) shall not exceed Indian Rupees One Thousand (₹1,000).

11.3 No Liability for Third-Party Actions. CipherCru is not liable for any loss, damage, or harm caused by:

  • the unavailability, errors, or security failures of any third-party service or platform used in connection with the Website;

11.4 Exceptions. Nothing in these Terms limits or excludes CipherCru's liability for:

  • any other liability that cannot be limited or excluded under applicable Indian law.

11.5 Reliance on Content. You assume full responsibility and risk for your use of the Website and reliance on its content. CipherCru is not liable for any decision you make or action you take in reliance on Website content.

12. Indemnification

You agree to indemnify, defend, and hold harmless CipherCru Innovations Private Limited and its directors, officers, employees, contractors, agents, and affiliates (collectively, the "CipherCru Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of or access to the Website in breach of these Terms;
  • any content you submit through the Website;
  • your violation of any applicable law or the rights of any third party in connection with your use of the Website;
  • any claim by a third party arising from your misuse of Website content or breach of these Terms.

CipherCru reserves the right to assume exclusive control of the defence and settlement of any matter subject to indemnification by you, at your expense. You agree to co-operate with CipherCru's defence of such claims and not to settle any claim without CipherCru's prior written consent.

13. Privacy & Data Protection

CipherCru takes your privacy seriously. The collection, use, storage, and disclosure of personal data obtained through the Website is governed by our Privacy Policy, which is incorporated into and forms part of these Terms.

By using the Website, you consent to the processing of your personal data as described in the Privacy Policy. Our Privacy Policy covers:

  • what personal data we collect when you visit or interact with the Website;
  • how and why we use your personal data;
  • how long we retain your personal data;
  • your rights under the Digital Personal Data Protection Act 2023, the GDPR (where applicable), and other applicable data protection laws;

16. Modifications to the Website

CipherCru reserves the right, at its sole discretion and at any time, to:

18. Termination of Access

18.1 CipherCru's Right. CipherCru reserves the right to suspend or terminate your access to the Website at any time, without notice and without liability, if:

  • you breach these Terms;
  • CipherCru reasonably suspects that your use of the Website is unlawful, fraudulent, or harmful;
  • CipherCru is required to do so by applicable law, court order, or regulatory authority.

18.2 Your Right. You may stop using the Website at any time. Discontinuation of use does not terminate provisions of these Terms that by their nature should survive, including Sections 7 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 19 (Governing Law), and 20 (Dispute Resolution).

19. Governing Law

19.1 These Terms and any dispute, controversy, or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Republic of India, including the Indian Contract Act 1872, the Information Technology Act 2000, and the Digital Personal Data Protection Act 2023, without regard to any conflict of law principles that would require application of the law of any other jurisdiction.

19.2 Subject to Section 20 (Dispute Resolution), the courts of Jaipur, Rajasthan, India shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms that is not subject to arbitration.

19.3 International Users. If you access the Website from outside India, you do so on your own initiative and are responsible for compliance with your local laws. These Terms are governed by Indian law regardless of where you access the Website from.

20. Dispute Resolution

20.1 Good Faith Negotiation. Before commencing any formal proceedings, the parties agree to attempt to resolve any dispute arising from these Terms through good faith negotiation. Either party may initiate this by sending written notice to the other. The parties shall negotiate for a period of twenty (20) Business Days from that notice before resorting to arbitration.

20.2 Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms that is not resolved through negotiation shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Jaipur, Rajasthan, India. The arbitration shall be conducted by a sole arbitrator, agreed by the parties within fifteen (15) days of the arbitration notice or, failing agreement, appointed by a court of competent jurisdiction. The language of arbitration shall be English.

20.3 Injunctive Relief. Notwithstanding Section 20.2, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction without first completing the negotiation period or the arbitration process, where necessary to prevent irreparable harm — including for breach of intellectual property rights or confidentiality obligations.

20.4 Confidentiality. All arbitral proceedings, submissions, and awards are confidential. Neither party may disclose information about the arbitration to any third party without the other party's prior written consent, except as required by applicable law or to enforce an award.

20.5 No Class Actions. All disputes under these Terms shall be resolved on an individual basis. You waive any right to bring or participate in a class action, collective action, or representative action against CipherCru in any forum.

21. Severability

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be:

  • modified to the minimum extent necessary to make it valid and enforceable; or
  • if modification is not possible, severed from these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, which shall continue in full force and effect.

22. Entire Agreement

22.1 These Terms, together with CipherCru's Privacy Policy and Cookie Policy, constitute the entire agreement between you and CipherCru with respect to your use of the Website, and supersede all prior communications and understandings relating to that subject matter.

22.2 No Waiver. No failure or delay by CipherCru in exercising any right under these Terms shall operate as a waiver of that right. No single or partial exercise of any right shall prevent further exercise of that or any other right.

22.3 No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and CipherCru. You have no authority to bind CipherCru in any manner.

22.4 Assignment. You may not assign or transfer any rights or obligations under these Terms without CipherCru's prior written consent. CipherCru may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of business, without your consent, provided the assignee assumes CipherCru's obligations under these Terms.

22.5 Language. These Terms are drafted in English. In the event of any inconsistency between an English version and a translated version, the English version shall prevail.
